American Standard Brands Announces Successful Completion of Its $187.5 Million Senior Secured Notes Offering

PISCATAWAY, NJ American Standard Brands announced today that AS America, Inc. (the “Issuer”) has completed its previously announced offering of $187.5 million in aggregate principal amount of senior secured notes due 2016 (the “Notes”).

The Issuer received approximately $179.2 million, after deducting the initial purchasers’ discounts and estimated expenses of the offering. The Issuer expects to use the proceeds of the offering to repay all outstanding borrowings under its existing credit facilities, to pay related transaction fees and expenses and for general corporate purposes.

The Notes and the related guarantees were offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States pursuant to Regulation S under the Securities Act. The Notes and the related guarantees have not been and will not be registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
